The current environment will present many community banks the opportunity to evaluate some type of merger or acquisition transaction as either a buyer or seller. While an acquisition transaction involving a community bank is similar to other corporate acquisitions, how to properly price the transaction is unique. There are a myriad of considerations on each of the buy and sell side. Disciplined and successful acquirers will understand pricing ratios, investment returns, dilution earn-back periods, acquisition accounting, tax and other critically important issues.
